UBISOFT ANNOUNCES THE COMPLETION OF TENCENT’S STRATEGIC INVESTMENT IN VANTAGE STUDIOS

PARIS – November 21, 2025 – Following the announcement of the binding agreement entered into with Tencent on March 27, 2025, Ubisoft is very pleased to announce the completion of the strategic investment of Tencent in the entity Ubisoft Nova SAS (referred to individually as “Vantage Studios”), built around the Assassin’s Creed, Far Cry, and Tom Clancy’s Rainbow Six franchises, thus securing a €1.16 billion cash investment from Tencent (the “Investment”). The Investment values Vantage Studios at a pre-money enterprise value of €3.8 billion and marks a significant milestone in Ubisoft’s transformation, strengthening its balance sheet, crystallizing the value of its world-class IP, and positioning its flagship franchises for long-term growth.

A significant milestone for Ubisoft and Vantage Studios

Fully operational since October 1, 2025, Vantage Studios is founded on the principles of autonomy, focus and player centricity with the objective of accelerating the growth of Ubisoft’s three largest franchises on their path to building billion-euro brand ecosystems. Based in France, Vantage Studios is led by a dedicated leadership team with its two co-CEOs, Charlie Guillemot and Christophe Derennes, and will include Heads of Franchises. It will be supervised by an advisory committee.

The proceeds from this transaction will deleverage the Group on a consolidated non-IFRS net debt basis while supporting selected investments across the Group and providing enhanced financial flexibility to support its strategic transformation. Vantage Studios also represents a key pillar of Ubisoft’s new operating model built around Creative Houses and designed to foster stronger creative vision, greater focus, efficiency, autonomy and accountability. The design of this new operating model will be finalized by year end and unveiled in January.

Following the completion of the Investment, Tencent holds a 26.32% economic interest in Vantage Studios, which remains exclusively controlled and consolidated by Ubisoft. As part of the completion of the Investment, Ubisoft and Tencent entered into on the date hereof a shareholders’ agreement in relation to Vantage Studios based on the key terms announced in March 2025 (the “Shareholders’ Agreement”).

Key Terms of the Shareholders’ Agreement

The key terms of the Shareholders’ Agreement are the following:

  • Tencent benefits from customary minority protection veto rights and certain consent rights over disposals of important subsidiary assets;
  • A five-year lock-up undertaking applies to the Vantage Studios’ securities held by Tencent, unless Ubisoft no longer owns a majority of Vantage Studios’ voting rights and share capital;
  • Ubisoft may not cease to hold a majority of Vantage Studios’ voting rights and share capital for a two-year period;
  • Customary share transfer provisions apply, including a right of first refusal in favour of Ubisoft, a right of first offer in favour of Tencent, a tag-along right for Tencent, and a drag-along right for Ubisoft (subject to certain conditions);
  • In case of (i) a change of control of Ubisoft, (ii) which is approved by Ubisoft Board of Directors, Ubisoft would benefit from a call option on Tencent interest in Vantage Studios and Tencent would benefit from a put option if such call option is not exercised by Ubisoft. The exercise price for the call option and the put option shall be the fair market value of Vantage Studios’ securities, provided that the enterprise value of Vantage Studios used as the basis for calculating the market value of its securities shall not be lower than an amount calculated by reference to the implied EBIT multiple resulting from Ubisoft change of control transaction, with certain agreed adjustments. A specific minimum price protection for the call option applies if the triggering event occurs during the first four years following closing of the Investment.

Former NASA astronaut on Owlcat’s approach in new dev diary debuted at the Golden Joystick Awards

Nicosia, Cyprus | Recently, Owlcat Games offered fans a look behind the scenes of The Expanse: Osiris Reborn and its depiction of life in space in the form of a new dev diary revealed during the Golden Joystick Awards. In collaboration with former NASA astronaut and ISS commander Leroy Chiao, the studio worked at striking the right balance between realism and playability.

The Expanse: Osiris Reborn is based on the book series and TV show. The Expanse is famous for taking a “hard” approach to the science-fiction genre, incorporating real-world scientific theories and practices. In order to make life in space in-game as faithful to the original as possible, while at the same time creating a fun gaming experience, Owlcat collaborated with former NASA pilot and ISS commander Leroy Chiao, incorporating his experience on how he moved, breathed, and even ate in space. For example, astronauts tend to favor spicy food in order to regain some of the loss of sensation that comes from living on a space station for months or years at a time — this is reflected in-game with characters clearly having a craving for fiery food!  

On the other hand, the team had to move away from a purely realistic depiction of life in space at some points, so the gameplay didn’t suffer. Real astronauts use tethers when they leave the security of their ships and space stations; but since this would be cumbersome in a video game, magnetic boots were introduced as a compromise. 

The same approach applies to combat: firearm ballistics and recoil work differently in zero-G than on solid ground, and famously, there is (almost) no sound in space. However, since sound effects and weapon feedback are important elements of what makes combat in games feel good, the team had to find a compromise. Sound in game is muffled, but players can still get feedback in the form of vibrations, breathing, and radio sound.

Raise a Garden from the Dead in Greenhearth Necromancer’s Demo Out Now!

A cozy, witchy semi-idle gardening sim with a heartfelt narrative about tending both living and undead plants

Silverstring Media, in partnership with indie publishing platform indie.io, is delighted to announce the first public demo for Greenhearth Necromancer, a cozy, witchy, semi-idle balcony-gardening sim where life and death grow side by side. The demo arrived on Steam today at 9 AM PT, offering players their very first chance to step into the garden ahead of the game’s full release (TBA). 

In Greenhearth Necromancer, players take on the role of a young, socially anxious necromancer inheriting a balcony garden from their late grandmother. Guided by her grandmother’s familiar spirit, players will resurrect plants, brew potions, cast spells, and nurture a hybrid ecosystem of living and undead flora. Written by the BAFTA-nominated writer of I Was a Teenage Exocolonist, the game explores grief, community, early adulthood, and the quiet magic found in tending a space back to life.

Greenhearth Necromancer blends the comfort of a small witchy gardening sim with the gentle cadence of a semi-idle game. Its balcony garden grows and changes in real time, encouraging players to step away, return later, and discover what’s bloomed, wilted, or transformed in their absence. Some discoveries only emerge after time has passed, including new resources, withered flora ready for resurrection, and fresh narrative threads.

Rather than demanding constant attention, the garden quietly evolves at its own pace. Plants may flourish, fade, be attacked by pests, become overtaken by fungus, or even fully decay — but for a necromancer, these moments are simply part of the cycle. Brewing potions for pest and fungus control, reviving plants as undead companions, and nurturing both living and spectral flora allow players to explore gardening as a space where change — even messy change — is welcome. Whether actively pruning, brewing, and casting spells or simply letting the garden sway in the breeze beside a work or study session, Greenhearth Necromancer invites players to grow a space that thrives alongside the rhythms of their real-world life.
